Dissolution of Corporation contract

The present contract of Dissolution of society (contract) is signed and takes effect from this [Date],

And: [Name of the associate buyer] (the associate buyer), a company incorporated and governed by the law of [State/Province], and having its registered office at:

PREAMBLE
A. the parties are partners of the firm [name], [address], [City], [State], incorporated with the aim of [specify] in accordance with contract dated [date].

B. in accordance with the terms of the partnership agreement, a notice of sale or purchase was given by the seller to the buyer associate partner.

C. the associate buyer has exercised its right to buy the interest of the vendor partner in the company.
Considering the above issues and mutual benefits and obligations under the present contract, the parties agree to the following:

1. FROM THE SALE OF THE INTEREST; OF THE PURCHASE PRICE
The vendor partner will sell its interests of [%] in the society where the interests of [%] on supplies, equipment, procurement of the case, stocks of goods, debt, cash and all rights, titles and interests of [name of vendor partner] on the heritage of the company to the associate buyer for an amount of [amount] payable [number] equal monthly instalments which the payment due will be the [first] day of each month starting on [date].

2. BY INSURANCE OBLIGATIONS
Associate buyer promises says undertakes to pay all current debts and obligations of the company and to respect all conventions for rental of premises and all contracts and agreements required by society, and undertakes to defend and protect the seller against any claim partner that could arise because of such debts, obligations, or conventions or any other claim except as specifically mentioned in the contract.

3. OF THE COMPENSATION
The vendor shareholder warrants and promises that it has incurred no debt or obligation on behalf of the company or for which the company will be liable for other than liabilities, obligations and commitments such as described in the books of the company and which the vendor partner informed the buyer partner. The vendor partner agrees to indemnify and hold harmless the associate buyer against any claims which may be brought against the company by reason of a debt, obligation or commitment that the vendor partner has contracted on behalf of the company or for which the partner liable due to acts of [name of partner seller] and which the vendor partner has not informed the buyer associate

4. STATEMENTS AND PAYMENT OF TAX
Associate buyer undertakes to prepare statements of federal and State taxes the income of the company for the period from [date] to [date] and to provide copies to the vendor partner. Each Party shall pay the individual as well federal and state income taxes that she will be received by the company.

5. OF THE ASSURANCE OF TAX OBLIGATIONS
General taxes as well as all tax obligations shall be considered as an obligation of the company and are now conducted by the associate buyer.

6. OF THE DISSOLUTION
The company existing under the name of [name of partnership] is dissolved and this contract constitutes the entire accounting and the liquidation of the company. Under this contract, the vendor partner recognizes have no claim or demand of whatever kind or nature against the buyer partner unless restrictions. Except by also the restrictions contained in this agreement, associate Buyer acknowledges having no claim or claim of any kind or nature against the vendor partner.

7. OF THE LAW APPLICABLE
This agreement will be interpreted and applied in accordance with the laws of the State of [State of APPLICABLE law].
