Amendment to the contract of sale

The present amendment to a certain sales contract takes effect from this day (DATE), date of its signature.

WHEREAS the parties wish to amend certain terms of the contract of sale; and

Whereas certain terms not defined in this amendment are defined in the contract of sale;

The parties agree to the following:

1. THE PRICE CHANGE
Section [clarify] the contract of sale is here be amended to stipulate that the sale price of the contract will be, after the date of the present, the publicly announced price from time to time by the seller less a 10% discount.

2. THE PAYMENT
The first sentence of the Section [specify] of the contract of sale is removed and is replaced by the following sentence: "full payment for all products will be carried out by the purchaser within 45 days following the receipt of the corresponding invoice from the seller."

3. OF THE DELETION
The [specify] Section of the contract of sale is suppressed by this amendment and is no longer applicable after the date of this amendment.

4. THE PAYMENT
Consideration of the various adjustments made by the present, the buyer shall pay the seller the amount of [amount] at the time of the signing of the amendment.

5. OF THE ENTIRETY OF THE CONTRACT
This amendment as well as the contract of sale constitute the final, complete and exclusive contract statement between the parties regarding the subject matter of the contract and replaces any agreement or contract past and present between the parties.

6 of the Modification
This amendment cannot be supplemented, amended or modified by mutual agreement between the parties. No addition, modification or amendment of this agreement will be valid unless it is in writing and signed by both parties.

7. OF THE INCOMPATIBILITY
In the event of conflict between this amendment and the contract of sale, the terms of this amendment will have primacy.

8. OF THE CONTINUITY OF THE CONTRACT OF SALE
Except in accordance with the changes made by this amendment, the sales contract continues to be valid and enforceable.
